IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN AUTOMOTIVE ORIGINAL EQUIPMENT MANUFACTURER ("OEM"), AUTOMOTIVE DISTRIBUTOR, AUTHORIZED DEFENSE LAW FIRM, OR OTHER CORPORATE ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE FULL LEGAL AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

2. SUBSCRIPTION LICENSE GRANT & SCOPE OF USE

2.1 Enterprise Subscription License Subject to the terms and conditions of this Agreement and the applicable Order Form, LLL hereby grants to Customer a limited, non-exclusive, non-transferable (except as permitted under Section 15.2), non-sublicensable, revocable enterprise license during the subscription term to: 1. Access and use the Platform through its authorized user interfaces and APIs; 2. Ingest, process, and analyze Customer Data within Customer's provisioned tenant environment; 3. Generate, view, export, and utilize Synthesized Outputs solely for Customer's internal warranty evaluation, early defect mitigation, product liability review, and legal dispute defense.

2.2 Authorized Roles & User Seats Access is restricted strictly to Authorized Users holding registered credentials. Credential sharing, concurrent session cloning, or pooled use of generic user accounts across multiple physical persons is strictly prohibited. Customer shall ensure all Authorized Users maintain the strict confidentiality of their access credentials and multi-factor authentication tokens.

2.3 Dedicated Tenant Partitioning Each Customer enterprise environment operates within an isolated tenant partition. Customer and its Authorized Users shall access only Customer's designated tenant partition and shall not attempt to access, probe, or interact with tenant partitions belonging to any other automotive manufacturer or licensee.

3. STATUTORY COMPLIANCE & LEGAL ADVICE DISCLAIMER (CRITICAL NOTICE)

3.1 Decision Support Tool Only THE PLATFORM, STATUTORY RULES ENGINE, LIVING TIMELINE VISUALIZATIONS, AND SYNTHESIZED OUTPUTS ARE DESIGNED EXCLUSIVELY AS COMPUTATIONAL DECISION SUPPORT AND ADMINISTRATIVE CASE MANAGEMENT TOOLS. LEMON LAW LOGIC DOES NOT PROVIDE LEGAL ADVICE, FORMAL LEGAL REPRESENTATION, OR OPINIONS OF COUNSEL.

3.2 No Attorney-Client Relationship USE OF THE PLATFORM DOES NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP BETWEEN LLL AND CUSTOMER, NOR BETWEEN LLL AND ANY AUTHORIZED USER, VEHICLE PURCHASER, LESSEE, OR ADVERSE CLAIMANT. LLL IS A SOFTWARE PROVIDER AND NOT A LAW FIRM.

3.3 Independent Legal Judgment Required Statutory calculations, repair attempt counts, out-of-service day totals, statutory presumption triggers, statutory mileage offset deductions, and settlement crossroads estimations are automated computational heuristics. They do not constitute a legal determination that any vehicle is or is not a statutory nonconformity or that any claim must be paid or rejected. Customer agrees that: 1. All settlement determinations, repurchase authorizations, replacement offers, court pleadings, and statutory disclosures remain under the exclusive direction, oversight, and final approval of Customer's licensed in-house attorneys or retained outside counsel; 2. Customer shall independently verify all raw repair order exhibits, delivery dates, loaner vehicle utilization records, and telematics fault timestamps before relying on them in any judicial, administrative, or arbitration proceeding.

4. RESTRICTIONS & ACCEPTABLE USE POLICY

Customer shall not, and shall not permit any Authorized User or third party to: 1. Reverse engineer, decompile, disassemble, translate, or otherwise attempt to derive or reconstruct the source code, underlying algorithms, database architectures, or proprietary data models of the Platform; 2. Copy, modify, adapt, alter, or create derivative works of the Platform or Statutory Rules Engine; 3. Rent, lease, lend, sell, sublicense, distribute, publish, transfer, or make available the Platform to any third party on a service bureau, timesharing, or application service provider basis; 4. Circumvent, disable, or tamper with any digital rights management, security token authentication, rate limiting, or Row Level Security (RLS) tenant isolation controls; 5. Conduct security audits, penetration testing, vulnerability scanning, or automated stress testing against the Platform infrastructure without prior written authorization from LLL; 6. Scrape, crawl, harvest, or extract data, vehicle silhouette assets, statutory rule tables, or catalog specifications from the Platform via automated bots, scripts, or spiders; 7. Use the Platform to develop, train, benchmark, fine-tune, or validate any competing machine learning model, statutory calculation software, or warranty defense product; 8. Upload or transmit any malicious code, virus, worm, Trojan horse, corrupted file, or software designed to interrupt or degrade the operation of the Platform.

5. PROPRIETARY RIGHTS & DATA OWNERSHIP

5.1 Platform Intellectual Property As between Customer and LLL, LLL retains sole and exclusive ownership of all right, title, and interest in and to: 1. The Platform, its application code, user interfaces, database structures, workflows, and APIs; 2. The Statutory Rules Engine, jurisdictional logic definitions, and statutory calculation formulas; 3. Master vehicle catalogs, Year-Make-Model-Trim (YMMT) hierarchies, and vehicle silhouette graphics; 4. Voice narration pipelines, AI synthesis engines, and machine learning models; 5. All improvements, enhancements, derivative works, and configuration modifications made to any of the foregoing.

5.2 Customer Data Ownership As between Customer and LLL, Customer retains sole and exclusive ownership of all right, title, and interest in and to all Customer Data. Nothing in this Agreement grants LLL any ownership rights in Customer Data.

5.3 License to Process Customer Data Customer hereby grants LLL a worldwide, limited, non-exclusive, royalty-free license during the subscription term to access, store, process, reproduce, and transmit Customer Data solely to the extent necessary to: 1. Provide, maintain, host, and secure the Platform for Customer; 2. Execute statutory rule evaluations, timeline compilations, and risk alerts requested by Customer; 3. Generate Synthesized Outputs for Customer's Authorized Users; 4. Prevent, detect, or address technical performance issues, platform errors, or security incidents.

5.4 Aggregated & De-Identified Telemetry LLL may collect and generate aggregated, de-identified operational metadata regarding Platform utilization (e.g., API request latency, aggregate error rates, system throughput). Such data shall not contain vehicle identification numbers, consumer personal information, or Customer confidential identifiers, and LLL may use such operational metrics solely to maintain and optimize system reliability.

6. TELEMATICS & DEALERSHIP INGESTION PIPELINES

6.1 Third-Party Dealership & Ingestion Feeds The Platform provides connectors for Dealer Management Systems (DMS), court docket registries, and vehicle telematics brokers. Customer represents and warrants that: 1. Customer possesses all necessary commercial licenses, dealership authorizations, and franchise agreements required to transmit DMS repair orders, technician punch times, and parts invoices to LLL; 2. Customer possesses all necessary statutory and contractual consents from vehicle owners or lessees to collect, ingest, and analyze connected vehicle telematics snapshots, crash sensor triggers, and diagnostic trouble code records; 3. Customer shall maintain and configure its webhook credentials, API keys, and mutual authentication certificates with industry-standard security hygiene.

6.2 Upstream Provider Failures LLL shall not be responsible or liable for data omissions, transmission delays, formatting corruptions, or ingestion outages originating from upstream third-party dealership networks, third-party telematics cellular carriers, or official county court docket feeds.

7. CONFIDENTIALITY & DATA SECURITY

7.1 Confidential Information "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Customer Data constitutes Customer Confidential Information. Platform code, pricing terms, security audit reports, and Statutory Rules Engine specifications constitute LLL Confidential Information.

7.2 Duty of Confidentiality The Receiving Party shall: 1. Protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential materials of like nature, but in no event less than reasonable care; 2. Use Confidential Information solely to exercise rights and perform obligations under this Agreement; 3. Disclose Confidential Information only to its employees, legal advisors, contractors, and hosting providers who have a legitimate need to know and are bound by written confidentiality obligations at least as restrictive as those herein.

7.3 Data Security Safeguards LLL shall implement and maintain commercially reasonable administrative, physical, and technical safeguards designed to protect the confidentiality, integrity, and availability of Customer Data. These safeguards shall include: 1. Encryption of Customer Data in transit using modern TLS protocols (TLS 1.2 or higher); 2. Encryption of Customer Data at rest using AES-256 or equivalent cryptographic standards; 3. Automated database-level tenant isolation preventing cross-tenant record leakage; 4. Role-based access control (RBAC) ensuring principle of least privilege across all service modules.

7.4 Security Incident Notification In the event LLL confirms an unauthorized breach of security resulting in the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Customer Data ("Security Incident"), LLL shall notify Customer without unreasonable delay (and in all events within forty-eight (48) hours of confirmation). LLL shall take prompt remedial action to contain and mitigate the incident.

8. AI-ASSISTED SYNTHESIS & SPEECH NARRATION

8.1 Machine-Generated Synthesis Certain modules of the Platform incorporate artificial intelligence, algorithmic natural language compilation, and speech synthesis to generate narrative case summaries, spoken timeline walkthroughs, and statutory crossroads assessments. Customer acknowledges and agrees that: 1. AI outputs are probabilistic syntheses of ingested repair orders, telematics spikes, and statutory heuristics; 2. AI-synthesized narratives should be cross-referenced against official repair orders and certified dealer records prior to submission in court or arbitration; 3. Audio narration files are generated dynamically from case text and are provided solely for case orientation and internal presentation purposes.

8.2 Voice Profiles & Audio Assets Voice profiles and audio playback synthesizers provided within the Platform are licensed under applicable open source or enterprise speech licenses (including Apache-2.0 and Google Cloud Text-to-Speech). Customer shall not extract, redistribute, or use synthesized audio streams outside the authorized context of managing and defending Customer's product warranty matters.

9. WARRANTIES & DISCLAIMERS

9.1 Mutual Warranties Each party represents and warrants that: 1. It is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; 2. It has the full corporate power, legal right, and authority to enter into and perform its obligations under this Agreement; 3. The execution and performance of this Agreement does not violate any other contractual obligation by which it is bound.

9.2 LLL Service Warranty LLL warrants that during the applicable subscription term, the Platform will operate in material conformity with the applicable product documentation under normal administrative use. In the event of a breach of this warranty, Customer's sole and exclusive remedy, and LLL's entire liability, shall be for LLL to use commercially reasonable efforts to correct the non-conformity.

9.3 General Disclaimer EXCEPT AS EXPRESSLY SET FORTH IN SECTION 9.2, THE PLATFORM, STATUTORY RULES ENGINES, SYNTHESIZED OUTPUTS, APIS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LLL AND ITS LICENSORS DISCLAIM ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

LLL DOES NOT WARRANT THAT: 1. THE PLATFORM WILL OPERATE UNINTERRUPTED, SECURE, OR ERROR-FREE; 2. STATUTORY CALCULATIONS WILL BE IDENTICAL TO ANY PARTICULAR JUDICIAL OR ADMINISTRATIVE ARBITRATOR RULING; 3. 12. TERM, SUSPENSION & TERMINATION

12.1 Agreement Term This Agreement commences on the Effective Date (or the date Customer first accesses the Platform) and continues until all Order Forms have expired or been terminated in accordance with this Section 12.

12.2 Termination for Cause Either party may terminate this Agreement and any active Order Form immediately upon written notice if: 1. The other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) calendar days following receipt of written notice detailing the breach; 2. The other party becomes insolvent, files a petition for bankruptcy, makes an assignment for the benefit of creditors, or has a receiver appointed over its business.

12.3 Immediate Suspension for Security Threats LLL reserves the right to immediately suspend Customer's access to the Platform (or the credentials of any specific Authorized User) if LLL reasonably determines that: 1. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14.2 Informal Resolution Before initiating formal arbitration, the parties agree to make a good faith effort to resolve any dispute, controversy, or claim through executive consultation between designated senior commercial officers for a period of at least thirty (30) calendar days.

Any attempted assignment in violation of this Section shall be null and void.

15.3 Severability If any provision of this Agreement is held to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original commercial intent, and all remaining provisions shall remain in full force and effect.
